Legal Manager

Job Summary

We are seeking an experienced Legal Manager to oversee the company's legal operations while supporting strategic corporate initiatives, including mergers and acquisitions (M&A), investments, and corporate restructuring. This role requires a commercially minded legal professional who can manage legal risks, ensure regulatory compliance, and provide practical legal advice to business stakeholders.

Key Responsibilities

Corporate & Commercial Legal

  • Provide legal advice to management on corporate, commercial, operational, and strategic matters.
  • Draft, review, negotiate, and manage a wide range of commercial agreements, including service agreements, vendor contracts, partnership agreements, NDAs, financing documents, and other business contracts.
  • Ensure all legal documentation complies with applicable laws and company policies.
  • Develop and maintain standard contract templates and legal documentation.

Corporate Governance & Compliance

  • Ensure the company's compliance with Indonesian laws and regulations.
  • Manage corporate governance matters, including shareholder resolutions, board resolutions, and corporate documentation.
  • Coordinate corporate licensing, permits, and regulatory filings.
  • Monitor changes in laws and regulations and advise management on potential business impacts.
  • Establish and improve internal legal policies and compliance procedures.

Mergers & Acquisitions (M&A)

  • Lead legal aspects of mergers, acquisitions, investments, divestments, joint ventures, and strategic partnerships.
  • Conduct and coordinate legal due diligence for target companies.
  • Identify legal risks and propose mitigation strategies during transactions.
  • Draft, review, and negotiate transaction documents, including Term Sheets, Share Purchase Agreements (SPA), Shareholders' Agreements (SHA), Investment Agreements, and related documentation.
  • Collaborate with financial advisors, external legal counsel, tax consultants, and business teams throughout transaction processes.
  • Support post-acquisition integration from a legal and governance perspective.

Risk Management & Dispute Resolution

  • Identify, assess, and mitigate legal risks across business operations.
  • Manage legal disputes, litigation, arbitration, and regulatory investigations when necessary.
  • Coordinate with external law firms and government authorities.
  • Provide practical legal solutions that align with business objectives.

Stakeholder Management

  • Act as the primary legal business partner for management and cross-functional teams.
  • Work closely with Finance, Investment, HR, Operations, and Business Development departments.
  • Manage relationships with external legal counsel, regulators, notaries, and government institutions.

Requirements

  • Bachelor's degree in Law (S.H.); Master's degree (LL.M.) is an advantage.
  • Minimum 8 years of legal experience, with at least 3 years in a managerial role.
  • Strong experience in both corporate legal operations and M&A transactions.
  • Experience in private equity, venture capital, investment companies, financial services, corporate groups, or top-tier law firms is highly preferred.
  • Strong knowledge of Indonesian corporate law, contract law, investment regulations, and regulatory compliance.
  • Proven experience conducting legal due diligence and negotiating complex commercial agreements.
  • Familiarity with corporate restructuring, capital raising, joint ventures, and investment transactions.
  • Excellent contract drafting and negotiation skills.
  • Strong analytical thinking and commercial judgment.
  • Able to work independently while managing multiple projects simultaneously.
  • Excellent communication skills in both Bahasa Indonesia and English.
  • Ability to collaborate effectively with senior management and external stakeholders.

Preferred Qualifications

  • Experience supporting holding companies or multi-entity corporate structures.
  • Experience working with investment transactions, venture capital, or private equity firms.
  • Exposure to cross-border transactions and international legal documentation.
  • Licensed Advocate (PERADI) is an advantage but not mandatory.
