Job Description:
I our Organization, we understand the importance of operating within the law while carrying out our vision. We seek legal counsel with extensive experience practicing law, preferably in a business environment. The said counsel will serve as an advisor on all legal matters assisting the General Counsel.
Role Overview:
We are seeking a qualified and experienced Company Secretary (preferred if lawyer as well) to join our team. The ideal candidate should have a strong understanding of corporate governance, regulatory compliance, and secretarial practices, with hands-on experience in both corporate and practicing firm settings. This role demands a proactive professional who can manage statutory obligations, support board processes, and ensure legal and regulatory compliance across the organization.
Key Responsibilities:
• Ensure compliance with Companies Act, FEMA, and other applicable laws.
• Manage board meetings, general meetings, and committee meetings including drafting agendas,minutes, resolutions, and notices.
• Co-ordinate with local consultants for any work that may be assigned to them
• Maintain statutory registers and records as per legal requirements.
• Liaise with regulatory authorities such as MCA, RBI, ROC etc. as required
• Handle corporate filings, annual returns, and other statutory submissions.
• Support legal and compliance audits and due diligence processes.
• Advise management on corporate governance best practices.
• Assist in drafting and reviewing legal documents, contracts, and agreements.
• Coordinate with internal and external stakeholders including auditors, legal advisors, and consultants.
• Stay updated on changes in laws and regulations affecting the company.
• Managing labour compliance including Licenses and registrations required for running the business.
• Ensure all legal, regulatory and labour compliance in all geographies.
• Tracking laws and regulations that are relevant to the Company's business and policies.
• Monitor and identify labour compliance risks, coordinate control improvements and check implementation status.
• To ensure that business is provided with legal documentation and advisory support and are legally compliant with all the applicable laws.
Qualifications & Skills:
• Qualified Company Secretary (ACS).
• Preferred if a qualified L.L.B
• 7–8 years of post-qualification experience, with exposure to both corporate and practicing firm environments.
• Strong knowledge of corporate laws, secretarial standards, labour laws and regulatory frameworks.
• Excellent drafting, communication, and interpersonal skills.
• Ability to manage multiple tasks and meet deadlines.
• Proficiency in MS Office and secretarial software tools.
Preferred Attributes:
• Experience in a mid-level or large corporate setup.
• Exposure to M&A and corporate restructuring.
• Ability to work independently and as part of a team.
