In Indonesia, the company operates large-scale processing facilities for nickel and battery materials, supporting the country’s ambition to become a key player in the EV battery value chain. The local operations play a strategic role in corporate governance, legal compliance, corporate actions, and commercial expansion across multiple entities in the mining sector.
Job Role:
The Corporate & Commercial Legal Affairs Manager is responsible for managing all corporate legal matters, commercial agreements, M&A processes, and compliance activities for mining management and related subsidiaries. This includes drafting and reviewing multilingual contracts, advising on investment and corporate law, supporting business expansion, and safeguarding the company’s legal position across strategic transactions.
Key Responsibilities:
- Lead legal processes for mergers and acquisitions, including due diligence, drafting agreements, and facilitating transaction closings.
- Draft, review, and negotiate high-value commercial contracts, including procurement, mining services, joint ventures, and sales/offtake agreements.
- Manage corporate secretarial and governance activities, including organizing shareholder and board meetings, preparing resolutions, and handling notarial documentation.
- Oversee corporate establishment processes and regulatory filings, such as AHU Online and OSS/BKPM submissions.
- Provide legal advice across corporate, commercial, investment, and governance matters, ensuring compliance with Indonesian Company Law, Investment Law, and relevant sectoral regulations.
- Prepare, manage, and archive bilingual or trilingual contracts and statutory corporate documents.
Candidate Requirements:
- Bachelor’s degree in Law (Master’s degree preferred) with PERADI license and C.M.L.C. certifications as strong advantages.
- Minimum 5 years of experience in corporate or commercial law within mining, energy, industrial, or heavy industry sectors.
- Proven expertise in mergers and acquisitions, drafting high-value contracts, and managing shareholder and board meetings.
- Strong drafting, negotiation, and legal analysis skills in Bahasa, Mandarin, and English.
- Familiarity with OSS/BKPM, AHU Online, and Indonesian corporate regulations.
- In-depth knowledge of Indonesian Company Law (UUPT), Commercial/Contract Law, Investment Law, and general corporate legal practices.
- Meticulous attention to detail, excellent organizational and analytical abilities.
- High integrity and professionalism, with the ability to handle sensitive information with strict confidentiality.
- Professional fluency in Mandarin and English, both spoken and written, for multilingual contract management and communication with international stakeholders.
