The local operations play a strategic role in corporate governance, legal compliance, corporate actions, and commercial expansion across multiple entities in the mining sector.
Job Role:
The Senior Corporate Secretary serves as a strategic bridge between regulatory bodies, shareholders, investors, and the public. This role ensures full compliance with OJK, IDX, and Indonesian Company Law regulations, while safeguarding the company's governance standards and supporting board-level operational excellence. The position also contributes to investor communication, corporate disclosure, and governance frameworks amid rapidly expanding operations in Indonesia.
Key Responsibilities:
- Ensure full compliance with OJK and IDX regulations, including reporting timelines and disclosure requirements.
- Prepare and submit periodic and ad-hoc disclosure documents while maintaining confidentiality and preventing insider-trading risks.
- Organize board and committee meetings, prepare agendas, materials, and meeting minutes.
- Manage general meetings of shareholders (AGMs/EGMs) and all related statutory documentation.
- Maintain statutory registers and corporate records accurately.
- Serve as the primary point of contact for shareholders, analysts, media, and other market stakeholders.
- Organize investor meetings, calls, and briefings to maintain strong communication and transparency.
- Ensure a positive public and capital-market image.
- Promote best practices in corporate governance compliance.
- Manage corporate governance reporting and assist the board/committees with governance-related assessments and training.
Candidate Requirements:
- Education: Bachelor’s degree in Law, Finance, Accounting, or related fields; Corporate Secretary certifications are highly preferable.
- Experience: Minimum 5 years as Corporate Secretary in an IDX-listed company under relevant industries; Strong familiarity with Indonesian Company Law, OJK & IDX rules, disclosure processes, and corporate actions (M&A, restructuring).
- Professional Competencies: Excellent communication and organizational skills; Strong integrity and ability to manage confidential information; Able to work in high-pressure and fast-moving environments.
- Language: Professional fluency in Mandarin and English (both spoken and written), for communication with Huayou Group executives and foreign investors.
