Client Overview:
Our client is a confidential multi-entity group with operations in Bali, seeking a seasoned finance leader to oversee all financial functions across four entities. This role is highly discreet, as it is a replacement search.
Job Role:
The Senior Legal Manager will be responsible for overseeing the company’s legal and compliance framework, ensuring adherence to corporate law, governance standards, contracts, and risk management. This role requires a strong legal foundation in Indonesian law with exposure to international practices, including land and property-related matters. The position combines strategic advisory to senior leadership with hands-on management of contracts, disputes, and compliance, while also mentoring a small legal team.
Key Responsibilities:
- Legal Compliance & Risk Management
- Ensure the company complies with all external regulatory requirements and internal policies.
- Develop and implement legal policies, procedures, and best practices to maintain compliance with local, national, and international laws.
- Identify potential legal risks associated with business operations and advise senior management on risk mitigation strategies.
- Conduct regular compliance audits and training sessions to ensure awareness and adherence to legal and regulatory requirements.
- Contract Management & Negotiation
- Oversee the drafting, review, negotiation, and execution of various company contracts, including partnerships, sales agreements, vendor contracts, and service agreements.
- Ensure all contracts align with the company’s strategic objectives and protect its legal and financial interests.
- Develop contract templates and standard operating procedures to streamline the contracting process and reduce legal exposure.
- Litigation & Dispute Resolution
- Manage all litigation matters, including lawsuits, arbitrations, and regulatory investigations.
- Liaise with external legal counsel, ensuring the company’s interests are effectively represented.
- Oversee dispute resolution strategies, including mediation and negotiation, to minimize litigation
- risks and costs.
- Maintain records of legal disputes and ensure proper documentation and reporting.
- Corporate Governance & Board Advisory
- Provide legal guidance to the board of directors and senior leadership on corporate governance, regulatory compliance, and ethical considerations.
- Ensure adherence to corporate laws and best governance practices, including maintaining corporate records, meeting minutes, and regulatory filings.
- Assist in structuring corporate policies and decision-making frameworks to align with legal and business objectives.
- Intellectual Property Protection
- Oversee the protection and enforcement of the company’s intellectual property (IP) rights, including patents, trademarks, copyrights, and trade secrets.
- Ensure IP filings and registrations are properly maintained and renewed.
- Advise on IP-related contractual agreements, including licensing, joint ventures, and collaborations.
- Monitor potential IP infringements and coordinate with legal counsel to enforce the company’s rights.
- Regulatory Affairs & Legislative Monitoring
- Keep abreast of legal and regulatory changes affecting the company’s operations, ensuring timely adaptation and compliance.
- Provide legal insights on emerging regulations and their potential impact on business strategy.
- Engage with regulatory authorities and industry bodies to advocate for favorable legal and regulatory conditions.
- Leadership & Team Development
- Manage and mentor the legal team, fostering a high-performance culture and continuous professional growth.
- Oversee legal team workflows, ensuring efficiency in handling legal matters and business support.
- Conduct training sessions for employees on key legal topics such as compliance, data privacy, and contract management.
- Stakeholder Engagement & Representation
- Act as the company’s legal representative in discussions and negotiations with external stakeholders, including regulators, law enforcement agencies, business partners, and external legal advisors.
- Build strong relationships with key external legal and regulatory entities to facilitate smooth business operations.
- Represent the company in legal and regulatory proceedings, ensuring its interests are effectively safeguarded.
Candidate Requirements:
- Education: Minimum Bachelor’s Degree in Law.
- Experience:
- At least 7 years of progressive, all-around, and solid legal experience.
- Minimum 3 years in a managerial level role within the real estate development or construction industry.
- Strong foundation in Indonesian corporate law with exposure to international practices preferred + land/agrarian law. Prior experience in property/real estate.
- Language: English (strong in written and spoken for regional reporting)
- Technical Expertise:
- Preferably has some experiences in the corporate law firm.
- Strategic thinker with ability to balance governance and business objectives, while mentoring a legal team.
- Skills: Negotiation, stakeholder management, leadership, and risk advisory.
- Professional Skills:
- Must be agile & flexible, able to work with energy across all the group entities & capable to handle working under various owners.
- Must have a good match with the group's values & culture.
- Must be willing to travel to the sites.
